• Signed two “EPC turnkey” contracts with Numanova SpA, a Italeaf’s subsidiary, for the plant engineering upgrading, the implementation of electrical connections, the electrical instrumentation and the commissioning of two gas-atomization plants for the production of metal powders for the additive manufacture

TerniEnergia, smart energy company active in the fields of renewable energy, energy efficiency, waste and energy management, listed on the Star segment of the Italian Stock Exchange and part of Italeaf Group, and Numanova, a company active in the production of high quality metal powders from ferrous and not ferrous metal alloys for the additive manufacturing industry and the more advanced applications in areas such as aerospace, energy, mechanical, biomedical, subscribed today two EPC contracts for the plant engineering upgrading, the connection to the technical networks, the technology selection and the installation of two gas-atomization plants for the production of metal powders for the additive manufacture.

The amount the order, which will be completed by TerniEnergia in the second half of 2017, amounted to overall Euro 6.5 million.

The two plants, known as EIGA (Electrode-Induction Melting Inert Gas Atomization) and VIGA (Vacuum-Induction Melting Inert Gas Atomization), already authorized by the local authorities, will be installed in the industrial area owned by Numanova of Nera Montoro (TR), with design work, supply and “turnkey” installation, including electrical connections, electrical instrumentation, commissioning and implementation of safety systems. The technology provider will be the ALD Vacuum Technologies, a German company leading in vacuum systems for casting, coating and heat treatment of metals, part of AMG Advanced Metallurgical Group N. V. Netherlands.

The transaction by TerniEnergia is configured as a “related party transaction”, since the operation carried out with its parent Italeaf SpA which, it is recalled, it holds an interest representing 45.06% of the share capital of TerniEnergia and exerts control over it pursuant to Article 2359, first paragraph, no. 2 of the Civil Code and Article 93 of the TUF. Therefore, Numanova is a related party to the Company pursuant to article 3, first paragraph, point (a) and the definition of related parties contained in Annex 1, paragraph 1, letter (a) (i) of the Consob Regulation no. 17221/2010.

The transaction is of ordinary nature, because it falls within the core business of TerniEnergia, and is configured as a relevant ordinary transaction concluded under conditions equivalent to those of the market, and falling within the categories of exclusion under Art. 13, paragraph 3, letter. c) of Consob Regulation no. 17221 of March 12, 2010, and pursuant to art. 8, paragraph 2, letter. c) of the Procedure for Transactions with Related Parties adopted by TerniEnergia. Anyway, the transaction was therefore approved by the Board of Directors of TerniEnergia on July 29, 2016, after acquiring the approval of the Committee for Transactions with Related Parties.

From the acquisition of the two contracts, TerniEnergia will have an increase in the revenues of the business line called “Technical Services”, active in the construction of industrial plants with the EPC formula. This transaction is consistent with the TerniEnergia aim and in line with the “Technical Services” sector growth target.
