The Board of Directors approved the new procedure concerning transactions with related parties and certain amendments to the By-laws

The Board of Directors of TerniEnergia resolved today to appoint the Committee for transactions with related parties, made up of the three Independent Directors, and it also approved, after hearing the positive opinion of such a Committee, the Procedure governing transactions with Related Parties pursuant to Consob Resolution no. 17221 dated March 12th, 2010 and subsequent amendments and integrations. Such a resolution was approved unanimously by the Board of Directors’ members. In addition the Board of Directors approved certain amendments to the By-laws in compliance with Legislative Decree January 27th, 2010, no. 27, that enacted UE Directive 2007/36/CE dated July 11th, 2007 concerning certain shareholders’ rights.
