The Board of directors of TerniEnergia, a smart company listed on the Italian Stock Exchange’s electronic share market (MTA) and part of the Italeaf Group, met today under the chairmanship of Stefano Neri, as a corrigendum to what was communicated on 3 May 2019, informs that the Company will apply the minimum shareholding quota of 2.5% for the presentation of the lists of candidates for the election of the administrative and control bodies, to guarantee the shareholding of minority shareholders.
This minimum quota has been determined considering that art. 13 of TerniEnergia’s by-laws states that “Only shareholders who, alone or together with other shareholders submitting lists, represent a total of at least 2.5% of the share capital with voting rights in the ordinary shareholders’ meeting or, if different, the maximum percentage that may be allowed by law or regulations, shall have the right to submit lists“.
