CONSOB ISSUED THE JUDGEMENT OF EQUIVALENCE ON THE INFORMATION DOCUMENT RELATED TO THE MERGER BY WAY OF INCORPORATION OF TERNIGREEN SPA IN TERNIENERGIA S.P.A.

Please be informed that, on September 5^th, 2012 Consob, with note no. […] In accordance with Article 57, paragraph 1, lett. d) of CONSOB Regulation no. 11971 of 1999 (the “Issuers’s Regulation”) issued the judgment of equivalence on the information document (“Information Document”) related to the merger by way of incorporation of TerniGreen S.p.A. in TerniEnergia S.p.A. (the “Company”).
The information document updates and integrates the information contained in the information document published on June 13, 2012 which has been prepared in accordance with Article 70, paragraph 6, and Article 57, paragraph 3, of the Issuers’ Regulation for admission to trading on the MTA of TerniEnergia’s ordinary shares that will be issued for the purpose of the merger.
