Lucos Alternative Energies S.p.A., active in the field of energy services and controlled by TerniEnergia S.p.A., a company listed on Star Segment of Borsa Italiana,  and Cofely Italia S.p.A., an industrial company leader in Italy and Europe in the energy field and technology multi-services part of the branch “Servizi Energia” of the Group GDF SUEZ, signed a Memorandum of Undestanding for the development of projects and business relationship in energy efficiency field in Italy.

Notably, the partnership, which will be in force until December 31st, 2014, provides for the identification of projects to be carried out with and in favour of private customer (such as industries, distribution companies, logistics, ect.) or public customer aimed to reduce primary energy consumption, such as but not limited to:

·           Actions on electrical equipment (replacement of electric motors and installation of inverters on electric motors, installation of efficient lamps, e.g. high-pressure sodium sources, LEDs, etc.., Installation of lighting control systems, control and automatic shut-off devices, applications, power factor correction);

·           special equipment (use of solar collectors for domestic hot water production, construction of cogeneration plants, micro-cogeneration, trigeneration, construction of plants for the production of energy from renewable sources, e.g. Solar thermal and photovoltaic, biomass, etc.., and district heating systems;

·           Actions on mechanical equipment (electricity recovery from natural gas decompression, installation of electric heat pumps for hot water production, energy efficiency improvement in processes for heating, construction of plants to improve efficiency of the industrial production cycles, e.g., gas recovery plant, etc.., installation of external air conditioners with high efficiency, replacement of electric water heater with gas one with high efficiency;

·           Actions on the building envelope (insulation of walls and roofs, replacing of single glazing with glazing with low transmittance and low emissivity, solar control glass selective screening etc..).

·           multi-annual management of energy plants of public or private customers, whose duration will be agreed from time to time.

Projects will be performed as follows:

·           “Third-party financing”: Cofely and Lucos perform the investment for design and construction of the plant, assuming its management and ensuring energy savings, which will be shared with the customer;

·           Action on realization of “turnkey solution” or “EPC” and “O&M” service (Engineering, Procurement and Construction, Operations and Maintenance): The customer makes the investment, entrusting Cofely and Lucos for design activities related to service, purchase of materials and execution of works, management and maintenance on the plant.

The Memorandum of understanding provides that Cofely and Lucos will agree from time to time on practical arrangements for implementation of projects, including the opportunity to create corporate vehicles ad hoc specifically for each initiative, and the retrieval of necessary financial resources – equity and debt – determinating the distribution of tasks and resources, the use of resources, and the regulation of relations ith related parties, according to the characteristics of projects and identified customers..
