With reference to the press release issued on May 27, 2011 announcing the signing of a preliminary agreement with ICQ Holding SpA, concerning the purchase by TerniEnergia SpA of an initial 70% corporate share in EFI Technology ESCO S.r.l., a company active in the energy sector for electricity recovery, be aware that the parties have amicably agreed not to proceed with the execution of that preliminary agreement. The Parties have come up with such determination as a result of different visions in the management and governance of the target company, as a result of the proposed entry of TerniEnergia in the corporate share of EFI Technology ESCO S.r.l..
