Signed Agreement with VentoNovo Energie S.r.l. for the transfer of the share held by Lucos Alternative Energies in EnerFlus S.r.l.

TerniEnergia S.p.A., a company listed on Star Segment of Borsa Italiana, Lucos Alternative Energies S.p.A., active in the Energy Services, and VentoNovo Energie S.r.l. with Sole shareholder, is an industrial company active in providing integrated and innovative energy services and in the field of renewable energy sources, have signed an agreement to transfer from Lucos to VentoNovo the entire representative share of 50% of the share capital belonging to the JV EnerFlus. The agreement also foresees the possibility of future collaboration for the project development in the field of renewable energy and strategic advisory supply by VentoNovo Energie to TerniEnergia in the energy efficiency sector in Italy.
Notably, the parties have completed the transfer of participation equal to 50% of share capital of EnerFlus to VentoNovo Energie S.r.l., and the price for sale and purchase of this participation – conventionally determined by the parties in the total amount of € 1.625 million – has been fully paid cash by VentoNovo Energie. EnerFlus is active in the management of the Energy Efficiency Certificates (TEE) arising from the requests for verification and certification of energy savings in the residential sector approved by the Authority for Electricity and Gas (AEEG).
At the same time, a settlement agreement has been signed by Lucos and its members on one side , and Antonio C. Vertucci, as the founder and partner of EnerFlus and by Enerflus itself, on the other side, to define relationship arising from the management of the joint venture EnerFlus S.r.l..

“With the closing of this transaction, completed to the full satisfaction of the parties, we provide to Lucos Alternative Energies, even after the framework agreement signed with Cofely belonging to the French group GDF Suez, the conditions to operate in a more focused manner in its core business of energy efficiency of industrial scale. Although Lucos considered the management of the previous Enerflus participation fully satisfactory, the signed agreement will enable us to collect financial resources for investment and development projects in new areas. We confirm, therefore the Group’s desire to gain a leadership position in Italy in the energy efficiency segment through a business model aligned to the main directives of the European environmental policy”.
