TerniEnergia, smart energy company active in the fields of renewable energy, energy efficiency, waste and energy management, listed on the Star segment of the Italian Stock Exchange and part of Italeaf Group, as part of its strategy to enhance photovoltaic assets, has signed an agreement for the sale of 50% of the shares of SAIM Energy 2 Srl to Dr. Fabrizio Venturi.
The Company operates a photovoltaic plant of 997.04 kWp site in the town of Torchiarolo (Brindisi). The total value of the sale has been agreed between the parties to Euro 650 thousand, of which Euro 412 thousand relating to the value of the shares of the JV SAIM Energy 2 Srl and Euro 238 thousand relating to the value of dividends declared but not yet paid for the shares relative to TerniEnergia. Payment by Dr. Fabrizio Venturi will be cash by September 30, 2015.
The transaction will be subject to a resolutive condition of the lack of consent expressed by the leasing company with which signed agreement relating to photovoltaic plants, no later than March 31, 2016.
Considering that Dr. Fabrizio Venturi is an executive director of TerniEnergia, the transaction should be constituted as a related-party transaction with not greater relevance. The Committee for Transactions with Related Parties, in application of the procedures for transactions with related parties as well as of Consob Regulation no. 17221 of 12 March 2010, also supported by a report estimation prepared by an independent expert, was informed of the terms and conditions of the transaction and expressed its reasoned favorable opinion on the convenience and the economic interest of the operation for TerniEnergia.
